Role Overview

We are seeking an Associate / Senior Associate to join our Commercial/Civil Litigation, Arbitration, Corporate, SEBI Regulatory, Insolvency, and Banking Sector Practice. The role will involve end-to-end handling of complex disputes, arbitration matters, corporate advisory assignments, regulatory matters before SEBI and securities market intermediaries, proceedings before High Court, NCLT/NCLAT, Debt Recovery Tribunal, and a broad spectrum of contentious and non-contentious mandates. The ideal candidate shall demonstrate excellent drafting, research, client handling, advisory, and advocacy skills, and the ability to manage matters independently as well as part of a team.

Key Responsibilities

You will be responsible for comprehensive case management across civil, commercial, corporate, SEBI, IBC, and arbitration matters, including:

  • Conducting rigorous legal research and analysis; preparing legal opinions, risk assessments, and strategic advisory for clients, including potential outcomes and settlement strategies.
  • Drafting, reviewing, and filing a wide range of pleadings and submissions such as complaints, applications, writs, petitions, replies/rejoinders, briefs, criminal complaints, bail applications, revisions and appeals.
  • Representing clients in court and tribunal proceedings, including appearances before High Court, District Courts, NCLT/NCLAT, Debt Recovery Tribunal, Securities Appellate Tribunal (SAT), SEBI, and other forums; preparing and presenting effective arguments.
  • Managing arbitration mandates, including notices invoking arbitration, statements of claim/defense, counterclaims, interim applications, evidence, written arguments, challenges to arbitral awards (Section 34 Applications and Section 37 Appeals), and enforcement proceedings.
  • Leading and coordinating all stages of dispute resolution: data assimilation and discovery, factual and legal research, computation and verification of claims, issuance of demand notices under the IBC, initiation and defence of Section 7/9/10 petitions, CIRP-related applications, avoidance/fraudulent transactions, liquidation-related applications, and appearances in connected proceedings.
  • Advising clients on corporate and commercial law matters, including Companies Act, 2013 compliances, corporate governance, board and shareholder matters, shareholder disputes, and general corporate advisory.
  • Drafting, reviewing, and negotiating commercial contracts, shareholder agreements, joint venture agreements, investment agreements, share subscription agreements, settlement agreements, and other corporate documentation.
  • Assisting clients on regulatory and compliance matters under SEBI regulations, including SEBI (LODR) Regulations, Insider Trading Regulations, Takeover Regulations, ICDR Regulations, and other applicable securities laws.
  • Assisting in proceedings, investigations, adjudication matters, enforcement actions, and regulatory filings before SEBI, Stock Exchanges, SAT, and other regulatory authorities.
  • Conducting legal due diligence and assisting in mergers & acquisitions, private equity investments, restructuring transactions, and other corporate transactions.
  • Applying recognized models, theories, and legal principles to quantify claims and damages; collaborating with forensic, valuation, insolvency professionals, and technical experts as needed.
  • Conducting and assisting in examination-in-chief and cross-examination; briefing and coordinating with Senior Counsel; preparing comprehensive argument notes and case summaries.
  • Maintaining robust case documentation and records; filing and managing case papers across courts, tribunals, and regulatory authorities; acting as authorized signatory for filings, vakalatnamas, and procedural compliances.
  • Ensuring consistent client communication with periodic updates on case progress, timelines, risks, and potential resolutions; managing and mentoring junior team members with constructive feedback and training.
  • Collaborating with business development teams to support practice growth; contributing thought leadership through articles, client alerts, posts, and knowledge pieces aligned with firm standards.
  • Acquaint with the use of Artificial Intelligence in the legal sector and open to adapting to evolving needs in the field.

Qualifications and Skills

  • Bachelor’s degree in Law (BA LL.B. / LL.B.) from a reputed law college/university, active enrolment and license to practice in India; registration with the Bar Council of India is mandatory.
  • Strong legal research and analytical abilities with proven drafting excellence across pleadings, advisory documents, and corporate/commercial documentation.
  • Experience in litigation, arbitration, corporate advisory, insolvency matters, and/or SEBI regulatory practice.
  • Working knowledge of the Companies Act, 2013, SEBI Regulations, securities laws, corporate governance frameworks, and commercial transactions would be preferred. CS candidates will have added advantage.
  • Solid advocacy and courtroom skills with a track record of effective case management and client representation.
  • High attention to detail and the ability to produce precise, error-free, and legally robust documents under tight deadlines.
  • Collaborative mindset with the ability to work seamlessly in cross-functional teams, manage multiple matters, and mentor junior colleagues.
